Samsung SDI's New Carlisle Takeover Reopens St. Joseph County's Incentive Deal
Samsung SDI has acquired General Motors' ownership stake in the $3.5 billion battery plant under construction in New Carlisle, making the site the company's first wholly owned battery production plant in North America. GM and Samsung SDI separately signed a joint development agreement on prismatic battery cells, so GM keeps a technology seat at the table even after stepping back from ownership. Construction on the plant physically stopped in May 2026 during the ownership renegotiation, and the restart did not begin until August 11, so the 2027 production target is counting from a dead stop rather than a normal build schedule. As of October 24, St. Joseph County has not received a finalized completion date, job count, or production plan from Samsung SDI. The original incentive package county officials wrote for the project, an estimated $332.9 million over 15 years, was built around a GM-Samsung joint venture that no longer exists in its original form, and it is now up for renegotiation with Samsung SDI as sole owner.
- Impact
- Samsung SDI is running the same EV-to-ESS pivot playbook LG Energy Solution already executed at its Lansing, Michigan plant, and GM's own VP of Battery, Kurt Kelty, has publicly admitted "we don't have enough demand to fill three factories", meaning New Carlisle will compete directly against Lansing and the GM-LG Ultium Tennessee plant for the same grid-storage customers. The buried detail: construction physically halted in May 2026 during equity renegotiations with structural steel left partially erected, and the restart clock didn't begin until August 11, so Samsung SDI's 2027 mass-production target is counting from a dead stop, not a normal build cadence.
- Watch
- Whether St. Joseph County publishes a renegotiated abatement agreement and revised job-count figure now that Samsung SDI, not GM, is on the hook for the original $4.5 million/year infrastructure fee commitment.
- For the huddle
If a plant in our own supply chain shifted from a joint-venture ownership structure to single-company ownership, do we know which of our incentive, tax, or supply agreements were written against the JV partner rather than the surviving owner?
Samsung SDI's takeover of the New Carlisle plant shows those terms do not automatically transfer. St. Joseph County is renegotiating its incentive package now that Samsung SDI alone holds the asset, so any agreement tied to the old GM-Samsung joint venture needs a fresh look.
