Patrick Industries Reaffirms LCI Merger Against Monomoy's $101-a-Share Bid
Patrick Industries reaffirmed its all-stock merger agreement with LCI Industries, the parent of Lippert, on October 28, after LCI disclosed it had received an unsolicited $101-per-share cash proposal from private equity firm Monomoy Capital Partners. LCI's board has not changed its recommendation for the Patrick deal but is evaluating the Monomoy offer with advisors Perella Weinberg Partners and Kirkland and Ellis. Shareholder votes on the original merger are scheduled for November 18, with the deal still targeted to close in the first half of 2027 and the combined roughly $8.1 billion revenue company headquartered in Elkhart. Monomoy already owns Thetford Corporation, an RV sanitation and climate supplier that acquired distributor Dave Carter and Associates in October 2025, so a Monomoy-owned Lippert would become a coordinated RV components roll-up competing directly against the Patrick-LCI combination. A $94.2 million termination fee becomes the financial trigger if LCI's board ever decides Monomoy's bid is a superior proposal.
- Impact
- Monomoy isn't a passive financial buyer here: it already owns Thetford Corporation, an RV sanitation/climate supplier that acquired distributor Dave Carter & Associates in October 2025, so a Monomoy-owned Lippert would become a coordinated RV-components roll-up competing directly against the Patrick-LCI combination. The two dominant RV assemblers, Thor Industries and Forest River (which just closed its Bristol Plant 63 in September, cutting 105 jobs), would face very different supplier dynamics depending on which outcome wins, and the Merger Agreement's $94.2 million termination fee becomes the financial tripwire if LCI's board ever deems Monomoy's bid a "Superior Proposal."
- Watch
- The November 18, 2026 special shareholder meetings for both companies, and any signal on whether LCI's board moves toward declaring Monomoy's proposal a Superior Proposal.
- For the huddle
If Lippert ends up under Monomoy/Thetford ownership instead of merging with Patrick, how does that change our component sourcing risk and pricing leverage as an RV or recreation-products supplier in the Elkhart corridor?
Monomoy already owns Thetford, so a successful bid would put a major components supplier inside a private equity-controlled roll-up rather than the publicly traded, Elkhart-headquartered combination Patrick and LCI have planned, changing who sets pricing and terms for that supply base.
